A Jordanian pharmaceutical company became a co-founder of OJSC "BelVitunipharm"

Jordanian pharmaceutical manufacturing company "Al-Urduniah Le-Indej Al-Aduya PLC.CO" along with the state became a co-founder of open joint-stock company "BelVitunipharm". The work on the establishment of OJSC in the process of transforming the state enterprise "BelVitunipharm" has been completed, the state registration of the company in the Unified State Register of Legal Entities and Individual Entrepreneurs took place on April 21, Director of the fund "Vitsebskoblimushchestvo" Mikhail Pavlyuchkov told a BELTA correspondent. The Jordanian pharmaceutical manufacturing company became a founder through direct negotiations, as the tender for the selection of a founder of OJSC other than the state did not take place. An agreement on the establishment of OJSC with the participation of a founder other than the state and the fulfillment of obligations in relation to it has been signed. To ensure the statutory activities of the company, the founders formed a charter capital in the amount of Br39,714,800,000. The charter capital is divided into 99,287 ordinary shares with a nominal value of Br400 thousand each. The state's share in the charter capital is 99.85%, or 99,137 ordinary shares, the share of the other founder is 0.15%, or 150 ordinary shares of the company. Within three years, the Jordanian company undertakes to acquire additionally issued shares of the company for at least $14 million for the implementation of an investment project to create a new pharmaceutical production in Vitebsk, while its share in the company's charter capital may reach up to 53%. Payment for additionally issued shares by the other founder will be made in cash or by transferring intellectual property results expressed in intellectual property objects as payment, as well as by transferring property rights to scientific and technical documentation for the production of medicines in a nomenclature that ensures the achievement of the main economic indicators established by the investment project's business plan. RUEP "BelVitunipharm" was established in 2008, its main activities include the production of pharmaceutical preparations and materials, as well as veterinary drugs, medical instruments, devices and equipment. -0-
